1. Agreement
These Terms of Service govern your access to and use of the SmartCloud FiberOps website, software, and related services. By using the service, you agree to these terms.
2. Eligibility and authority
You confirm that you are legally able to enter into this agreement and, if you use the service for a company or organization, that you have the authority to bind that entity to these terms.
3. Accounts and access
You are responsible for keeping account credentials secure and for all activity that takes place under your account. You must provide accurate information and keep it up to date.
4. Services
SmartCloud FiberOps provides subscription-based software and related services for fiber network operations, subscriber management, service activation, monitoring, billing, inventory, ticketing, and related workflows. We may improve, modify, or discontinue features from time to time.
5. Fees and billing
Paid services are billed according to the commercial terms agreed with you. Fees are due when invoiced unless another payment schedule is agreed in writing. Late payment may result in suspension of access.
6. Acceptable use
You may not use the service in a way that is unlawful, harmful, abusive, fraudulent, or intended to interfere with the service or other users. You must not attempt unauthorized access, reverse engineer restricted parts of the service, or introduce malicious code.
7. Customer responsibilities
You remain responsible for the accuracy of your data, the configuration choices you apply through the service, compliance with applicable telecom, privacy, and data protection rules, and the operation of your own networks, hardware, and third-party systems.
8. Data and confidentiality
Each party will protect the other party's confidential information and use it only as needed for the relationship between the parties. You retain your rights in your data. We may process data as needed to provide the service, maintain security, support the platform, and comply with applicable law.
9. Intellectual property
All rights, title, and interest in the SmartCloud FiberOps service, software, documentation, branding, and related materials remain with SMARTOLT LLC-FZ or its licensors. These terms do not transfer ownership of the service to you.
10. Availability and support
We aim to provide a reliable service, but uninterrupted availability is not guaranteed. Maintenance, updates, third-party failures, telecom conditions, and force majeure events may affect access or performance.
11. Suspension and termination
We may suspend or terminate access if you breach these terms, fail to pay fees, create security risk, misuse the service, or if suspension is required by law or a competent authority. You may stop using the service at any time, subject to any commercial commitments in your subscription or order.
12. Warranties disclaimer
Except as expressly agreed in writing, the service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the fullest extent permitted by law, SMARTOLT LLC-FZ will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of revenue, profit, business, goodwill, or data. Our total liability in connection with the service will not exceed the amount paid by you for the service during the 12 months before the event giving rise to the claim, unless mandatory law requires otherwise.
14. Indemnity
You agree to defend, indemnify, and hold harmless SMARTOLT LLC-FZ and its affiliates, officers, employees, and agents from claims, losses, and costs arising from your use of the service, your violation of these terms, or your violation of applicable law or third-party rights.
15. Changes to these terms
We may update these terms from time to time. Continued use of the service after updated terms take effect means you accept the revised terms.
16. Governing law and disputes
These terms are governed by the laws applicable in the United Arab Emirates, unless mandatory law requires otherwise. Any dispute related to these terms or the service will be handled by the competent courts of Dubai, unless another forum is required by law or agreed in writing.
